Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and dun4u Services LLC ("dun4u," "we," "us," or "our"), a limited liability company. By accessing our website at https://dun4u.ai, booking a demo, entering into a service agreement, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accessing or using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not use our Services.
2. Description of Services
dun4u Services LLC provides AI-powered business solutions, including but not limited to:
• AI Chat and Voice Agents — Automated conversational agents that handle customer inquiries, lead capture, scheduling, and support workflows via chat and voice interfaces
• Realtor AI Lead Platform — An AI-driven platform designed to help real estate professionals capture, qualify, and engage leads through automated outreach and conversation flows
• Custom AI Solutions — Bespoke AI implementations, integrations, and consulting services as agreed upon in individual service agreements
The specific features, deliverables, timelines, and pricing for your engagement will be set forth in a separate Statement of Work ("SOW") or Order Form ("Order"), which, once executed, becomes part of these Terms.
3. Eligibility and Account Registration
To use our Services, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By using our Services, you represent and warrant that you meet these requirements.
If we require you to create an account, you agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@dun4u.ai of any unauthorized access or suspected breach.
4. Service Agreements and Orders
Our AI services are delivered pursuant to individual service agreements, SOWs, or Orders that specify scope, pricing, timelines, and deliverables. In the event of any conflict between these Terms and a signed service agreement or SOW, the terms of the service agreement or SOW will control with respect to that specific engagement.
dun4u reserves the right to decline to provide Services to any prospective client at its sole discretion.
5. Fees and Payment
5.1 Pricing
Fees for our Services are set forth in the applicable Order or service agreement. Unless otherwise specified, all fees are quoted and payable in U.S. dollars.
5.2 Payment Terms
Payment is due in accordance with the schedule set forth in your Order or service agreement. Unless otherwise agreed, invoices are due within thirty (30) days of the invoice date. dun4u reserves the right to suspend Services for accounts with overdue balances after providing written notice.
5.3 Taxes
You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities arising from your use of the Services, excluding taxes based solely on dun4u's net income.
5.4 Refunds
All fees are non-refundable unless otherwise expressly stated in your service agreement or required by applicable law. If you believe an error has been made in billing, please contact us at legal@dun4u.ai within thirty (30) days of the invoice date.
6. Client Responsibilities
You agree that you are solely responsible for:
• Providing accurate, timely, and complete information necessary for dun4u to deliver the Services
• Ensuring that all data, content, and materials you provide to dun4u do not infringe any third-party intellectual property rights, privacy rights, or applicable laws
• Complying with all applicable laws and regulations in your use of the Services, including but not limited to real estate advertising laws, telemarketing regulations (TCPA), and data protection laws
• Obtaining all necessary consents from your end users and customers prior to deploying AI agents that collect, process, or communicate with those individuals
• Maintaining the confidentiality and security of any API keys, credentials, or access tokens provided to you
7. Acceptable Use Policy
You agree not to use our Services to:
• Violate any applicable federal, state, local, or international law or regulation
• Engage in any form of deceptive, fraudulent, or misleading conduct
• Harass, threaten, defame, or harm any individual or group
• Transmit or store any content that is unlawful, obscene, or infringes on third-party rights
• Circumvent, disable, or interfere with security-related features of the Services
• Reverse engineer, decompile, or attempt to derive the source code of any component of our AI systems
• Use the Services to develop a competing product or service without our prior written consent
• Introduce malware, viruses, or any other harmful code into our systems
dun4u reserves the right to immediately suspend or terminate access to the Services for any violation of this Acceptable Use Policy, without liability to you.
8. Intellectual Property
8.1 dun4u Ownership
dun4u and its licensors retain all right, title, and interest in and to the Services, including all underlying AI models, software, algorithms, interfaces, documentation, and related materials (collectively, "dun4u IP"). These Terms do not grant you any ownership rights in dun4u IP. Your use of the Services constitutes a limited, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes during the term of your engagement.
8.2 Client Content
You retain all ownership rights in the data, content, and materials you provide to dun4u ("Client Content"). You grant dun4u a limited, non-exclusive license to use Client Content solely to the extent necessary to provide and improve the Services during the term of your engagement. dun4u will not use your Client Content to train general-purpose AI models without your explicit consent.
8.3 Output and Deliverables
To the extent permitted by applicable law, and unless otherwise specified in your service agreement, AI-generated outputs and custom deliverables created specifically for you under a paid engagement are assigned to you upon receipt of full payment. dun4u retains the right to use de-identified, aggregated learnings from your engagement to improve its services.
8.4 Feedback
If you provide dun4u with suggestions, feedback, or ideas regarding the Services, you grant dun4u a perpetual, irrevocable, royalty-free license to use such feedback without restriction and without any obligation to compensate you.
9. Confidentiality
Each party may have access to confidential information of the other party in connection with the Services ("Confidential Information"). Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose Confidential Information to third parties without prior written consent; and (c) use Confidential Information solely to fulfill obligations under these Terms or the applicable service agreement.
This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was independently developed by the receiving party, or is required to be disclosed by law or court order (provided prompt notice is given to the other party where legally permitted).
10. Data and Privacy
dun4u's collection and use of personal information in connection with the Services is governed by our Privacy Policy, available at https://dun4u.ai. You are responsible for ensuring your use of the Services complies with all applicable privacy and data protection laws, including obtaining any required consents from individuals whose data is processed through the Services.
If a Data Processing Agreement ("DPA") is required under applicable law (e.g., GDPR), the parties will execute a separate DPA that supplements these Terms.
11. Third-Party Services and Integrations
Our Services may integrate with or rely upon third-party platforms, APIs, and services (e.g., CRM systems, telephony providers, AI infrastructure). dun4u does not control and is not responsible for the availability, accuracy, or terms of such third-party services. Your use of third-party services is subject to those parties' terms and conditions. If a third-party service becomes unavailable or changes its terms in a way that materially affects our Services, dun4u will work in good faith to identify a suitable alternative but does not guarantee uninterrupted functionality.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. dun4u DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
AI-generated content, outputs, and recommendations produced through our Services are provided for informational and automation purposes only. dun4u does not guarantee the accuracy, completeness, or suitability of any AI-generated output. You are solely responsible for reviewing, validating, and acting upon any AI-generated content before relying on it in your business operations.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL dun4u, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF dun4u HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL dun4u'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO dun4u IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
14. Indemnification
You agree to indemnify, defend, and hold harmless dun4u Services LLC and its members, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your Client Content; or (e) your interactions with your end users or customers through AI-powered solutions we deliver on your behalf.
15. Term and Termination
15.1 Term
These Terms remain in effect for as long as you use our Services or maintain an active service agreement with dun4u, whichever is longer.
15.2 Termination by You
You may terminate your use of the Services in accordance with the termination provisions set forth in your applicable service agreement or Order. If no such provisions exist, you may terminate by providing thirty (30) days' written notice to support@dun4u.ai.
15.3 Termination by dun4u
dun4u may suspend or terminate your access to the Services immediately upon written notice if you: (a) materially breach these Terms or your service agreement and fail to cure such breach within ten (10) days of notice; (b) become insolvent or file for bankruptcy; or (c) engage in conduct that dun4u reasonably believes may harm the company, its users, or third parties.
15.4 Effect of Termination
Upon termination, your right to access and use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating formal proceedings, both parties agree to first attempt to resolve any dispute informally by contacting legal@dun4u.ai and providing a written description of the dispute and the relief sought. The parties will negotiate in good faith for a period of thirty (30) days before pursuing formal remedies.
16.2 Binding Arbitration
If the dispute is not resolved informally, it shall be finally settled by binding arbitration administered under the rules of the American Arbitration Association (AAA) then in effect, with one arbitrator. The arbitration shall take place in the State of Maryland, or by remote proceedings if mutually agreed. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
16.3 Class Action Waiver
YOU AND dun4u AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding.
16.4 Exceptions
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including claims related to intellectual property or confidentiality.
17. Governing Law
These Terms and any disputes arising out of or related to them shall be governed by the laws of the State of Maryland, without regard to its conflict of law principles. Subject to the arbitration provision above, you consent to the exclusive jurisdiction of the state and federal courts located in Maryland for any matters not subject to arbitration.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable service agreements, SOWs, or Orders, constitute the entire agreement between you and dun4u with respect to the Services and supersede all prior or contemporaneous agreements, representations, or understandings.
18.2 Amendments
dun4u reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, by sending notice to your registered email. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.
18.3 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
18.4 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. dun4u's failure to assert any right or provision under these Terms shall not constitute a waiver of that right or provision.
18.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without dun4u's prior written consent. dun4u may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to you.
18.6 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond that party's reasonable control, including acts of God, natural disasters, internet outages, government actions, pandemics, or third-party service disruptions.

All legal notices to dun4u under these Terms must be sent in writing to legal@dun4u.ai or via the contact form at https://dun4u.ai/contact. Notices to you will be sent to the email address associated with your account or service agreement.
